Giveaway Official Rules and Agreement by Participant

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. VOID WHERE PROHIBITED. 

Eligibility/Sponsor: 

• This PredictionHealth Sidekick Giveaway ("Giveaway") is open to legal residents of the United States and the District of Columbia, who are at least eighteen (18) years of age or older as of the date of entry. 
• Prompt Therapy Solutions, Inc., with a business address of 1000 Maxwell Lane, Suite 700, Hoboken, NJ 07030 (“Sponsor”), is the sponsor of the Giveaway. 
• Employees, officers, and directors of Sponsor, its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and those living in the same household, whether or not related, are not eligible to participate. 
• In order to be eligible to win a prize, the participant must work at a clinic that:
  
  • Does not currently have an agreement in place to license any PredictionHealth products and/or services; and
  • Has a current electronic medical record license agreement in place with Prompt Therapy Solutions, Clinicient, Raintree, or WebPT (each, an “EMR Platform”). 
• Void where prohibited by law. 

Agreement to Rules:

• By participating, participant agrees to be fully and unconditionally bound by these Official Rules, and represents and warrants that participant meets the eligibility requirements set forth herein. 
• Participant agrees to accept the decisions of the Sponsor as final and binding as it relates to the Giveaway. 
• Winning a prize is contingent upon fulfilling all requirements set forth herein.

How to Enter: 

• No purchase is necessary to enter or win. A purchase will not increase a participant’s chances of winning. 
• The Giveaway begins on June 23, 2025 and ends on July 17, 2025 at 1 p.m. ET ("Giveaway Period"). The Giveaway Period will be extended if the Webinar (as defined below) is rescheduled for any reason. 
• To enter and be eligible to win a prize, each participant must register and join the live webinar hosted by Sponsor: “The Intelligent Clinic: Battling Burnout with AI,” which will take place on or about July 17, 2025 (the “Webinar”).     
• Limit 1 entry per person during the Giveaway Period. 
• Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. 
• Sponsor is not responsible for lost, late, misdirected, or corrupted entries. 
• All entries become the property of the Sponsor and will not be returned. 

Prize/Additional Requirements: 

• Up to four (4) eligible participants will win a one (1) year license to use PredictionHealth’s Sidekick AI Scribing tool (“Sidekick”) at their clinic. The license is a single use license only for each applicable winner and not for any other users at the winner’s clinic. The approximate retail value of each one-year license is one thousand two hundred and sixty dollars ($1,260). Prior to being able to use Sidekick, each winner must first enter into a license agreement with Sponsor, which will be subject to Sponsor’s standard terms, conditions, and limitations (each, a “Sidekick License Agreement”). The Sidekick license may only be used in tandem with one of the EMR Platforms set forth in Section 1 above. Each Sidekick License Agreement must have an effective date that is no more than thirty (30) days after the expiration of the Giveaway Period, unless agreed to otherwise by Sponsor, at Sponsor’s sole discretion. 
• The prizes are non-transferable and no cash or other substitution is allowed, except by Sponsor, who reserves the right to substitute a prize of equal or greater value if the prizes are unavailable. 
• All federal, state, and local taxes and any other costs and expenses associated with the acceptance or use of the prize are the sole responsibility of each winner. Each winner will be issued an IRS 1099 form for the actual value of the prize if required by applicable law. 
• The approximate retail value of a prize may vary depending upon market conditions at the time of fulfillment and/or redemption. Any difference between the approximate retail value and the actual value, if any, will not be rewarded.  All prizes claimed will be awarded.
• Sponsor is not responsible for complaints or issues regarding the prize. 
• The Sponsor of the Giveaway is Prompt Therapy Solutions, Inc.

Odds:

• The odds of winning depend on the number of eligible entries received during the Giveaway Period.

Winner Selection and Notification: 

• The potential winners will be selected in a random drawing from all eligible entries received during the Giveaway Period. 
• The drawing will be conducted on or about July 17, 2025. 
• The potential winners will be notified by email within 3 days of the drawing. 
• If a potential winner cannot be contacted, fails to respond within 10 days of notification, or is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner selected by a random drawing from among all remaining eligible entries. 
• The receipt by each winner of the prize offered in this Giveaway is conditioned upon compliance with any and all federal and state laws and regulations. 
• ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

Publicity: 

• By accepting the prize, each winner grants Sponsor the right to use their name, likeness, photograph, voice, and biographical information for advertising and promotional purposes without further compensation, unless prohibited by law. For clarity, and not in limitation of the foregoing, each winner agrees that Sponsor can post their name, or otherwise make their name available publicly, as a winner of the Giveaway. 

Release, Disclaimers, Indemnification, and Limitation of Liability: 

• By participating, each participant agrees to release and hold harmless Sponsor, its affiliates, subsidiaries, social media platforms, advertising and promotion agencies, and their respective officers, directors, employees, and agents from any and all liability, loss, or damage arising from or in connection with their participation in the Giveaway or the acceptance, use, or misuse of any prize. 
• Sponsor is not responsible for any technical malfunctions or errors that may affect the Giveaway. 
• Sponsor makes no representation or warranty concerning the prize, including without limitation representations or warranties related to the appearance, safety or performance of any prizes awarded.
• BY ENTERING THE GIVEAWAY, EACH PARTICIPANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT PARTICIPANT’S PARTICIPATION IN THE GIVEAWAY AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON. SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE. SPONSOR AND ITS PARENTS, SUBSIDIARIES, AND AFFILIATES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE GIVEAWAY.
• In no event will Sponsor’s liability exceed the value of the offered prize. 

General Conditions: 

• Sponsor reserves the right to cancel, suspend, or modify the Giveaway if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Giveaway, as determined by Sponsor in its sole discretion. 
• Sponsor reserves the right to disqualify any participant who violates these Official Rules or engages in fraudulent or inappropriate behavior. 
• All decisions of the sponsor are final and binding. 
• This Giveaway is governed by the laws of New Jersey. 

Privacy: 

• By participating, each participant agrees to the collection and use of their personal information in accordance with Sponsor's privacy policy, which can be found at https://www.promptemr.com/. For clarity, and not in limitation of the foregoing, Sponsor has the right to contact any participant in order to discuss the Giveaway, and Sponsor has the right to contact any participant during and after the Giveaway for marketing, advertising, or promotional purposes, as related to Sponsor’s products and services. 

Social Media Disclosure: 

• This Giveaway is in no way sponsored, endorsed, administered by, or associated with any specific social media platform. 

Winner List: 

• The names of the winners will be posted on various social media platforms. Additionally, in order to obtain a list of the winners, you may send a self-addressed, stamped envelope to Sponsor, care of the Marketing Department, within thirty (30) days of the announcement of the winners. 

Participant Agreement:

• By entering this Giveaway, participant acknowledge that she/he has read, understands, and agrees to these Official Rules.
